MICRONETICS TO ACQUIRE MICROWAVE & VIDEO SYSTEMS, INC.
November 2, 1998 - Micronetics Wireless, Inc. (NASDAQ/NOIZ) announced today that it entered into a definitive agreement to acquire Microwave & Video Systems, Inc. of Danbury, CT ("MVS"). The proposed transaction is subject to certain contingencies and is expected to close within 30 days.

In making the announcement, Richard Kalin, CEO of Micronetics, stated: "The proposed acquisition of MVS signifies Micronetics' strong commitment to expand its Switching Products Group. After the acquisition, Micronetics' Switching Products Group, which represented approximately 50% of Micronetics' FY98 sales, should operate at a revenue rate of between $4.5 and $5.5 Million Dollars per year.

Floyd Parin, currently MVS President, will assume the title of president, Micronetics Switching Products Group- the new division that will encompass both companies switching and microwave control component lines. Parin has more than 20 years experience in microwave control components sales and marketing.

Based in Hudson, NH, Micronetics Wireless designs, manufactures and markets a wide range of test equipment and components used in the design, testing and manufacturing of cellular, PCS, wireless local loop and satellite equipment. Through its Switching Products Group, it also manufactures components primarily used in radar, electronic intelligence, wireless communication and simulation applications.

Based in Danbury, CT, MVS designs, manufactures and markets microwave control components, including pin diode switches, switch/ filter banks and integrated assemblies, primarily for use in data communications, receivers, radar, simulation commercial and electronic intelligence equipment.
