MICRONETICS TO ACQUIRE ENON MICROWAVE, INC.
Enon had revenues of approximately $2.8 Million for 2001, with positive operating results. Enon manufactures RF/Microwave high power solid state switches, limiters, phase shifters and attenuators that are used in commercial, aerospace and defense market applications. These products complement those of Micronetics RF/Microwave Components and Subassemblies Division.
In making the announcement, Richard Kalin, President of Micronetics, stated "The proposed merger with Enon is in support of Micronetics' strategy to expand its RF/Microwave Components and Subassemblies Division. Applying the formula we successfully used in previous acquisitions, this will quickly add capability to better enable us to partner with our customers by delivering more complete solutions in the form of platform-based microwave integrated subassemblies. The addition of Enon's high power expertise will provide an important contribution to this strategy. In addition, we expect the acquisition of Enon to be accretive from inception."
The transaction is subject to customary closing conditions, including entry into a definitive merger agreement and the approval of Enon's stockholders.
Headquartered in Hudson, NH, Micronetics designs and manufactures test equipment and components that test the strength, durability and integrity of communication signals in communications and internet infrastructure equipment.
